We refer to
our notices to you respectively dated1 February,15
March and 8 November 2023 (the “Notices”).
關於本公司於2023年2月1日, 3月15日及11月8日發出予閣下/貴司的通知（合稱「該等通知」）。
Arrangement
with the Clients
與客戶的安排
By virtue
of the Notices, you were informed that we had ceased to provide securities
trading services since 1 March 2023. In the circumstances, you are reminded to
carry out any of the following actions in relation to all your cash securities
trading account(s) established and maintained with us (“Your Account(s)”) as
soon as practicable:-
憑藉該等通知，閣下/貴司已知悉本公司已於2023年3月1日起終止提供證券交易服務。在這情況下，本公司提醒閣下/貴司須於切實可行的情況下對閣下/貴司於本公司開立及持有的所有現金證券交易帳戶（下稱「您的證券帳戶」）盡快採取以下行動：-
1. Withdraw and/or collect all cash balance under
Your Account(s);
提取及/或領取所有於您的證券帳戶項下之所有現金結餘；
2. Transfer all cash balance, securities and such
other assets under Your Account(s) to another intermediary at your own costs
and expenses; and/or
轉移所有於您的證券帳戶項下之所有現金結餘、證券及其他類別資產予另一中介人，並需由閣下/貴司自行承擔其所產生的任何費用及開支；及/或
3. Sign and return the “Securities Renunciation
Confirmation” attached hereto as Appendix, for the purpose of completely
renouncing all your interest, rights, claims, title and possession of the
securities held in and under Your Account(s) (the “Securities”) and to authorize us to deal with or dispose of the Securities at our
own discretion.
簽署並交回本通知附件所附的「股份放棄確認書」，以完全放棄閣下/貴司於您的證券帳戶中持有的證券（下稱「該等證券」）的所有權益、權利、索賠、所有權及佔有權，並授權本公司自行處理或處置該等證券。
Application
for the Appointment of the Judicial Trustee
委任司法受託人的申請
If you fail
to provide us with your written direction or instruction as to how to deal with
your assets under Your Account(s), or we are unable to contact you, or we
otherwise remain in possession of unclaimed assets belonging to you, we have no
alternative but to apply to the High Court of Hong Kong pursuant to sections 56
and 62 of the Trustee Ordinance (Cap. 29 of the Laws of Hong Kong) for the
appointment of judicial trustee and deposit of all assets unclaimed belonging
to you to the judicial trustee appointed by the Court of Hong Kong in due
course. In such event, you may need to seek independent legal advice as to how
to reclaim your assets deposited with the judicial trustee and incur extra
costs and expenses on your part. In addition, all of Your Accounts
demonstrating no credit balance and no stockholding thereafter will be closed
without further notice.
如果閣下/貴司未有就如何處理於您的證券帳戶項下的資產向本公司提供書面指令或指示、或本公司無法聯絡閣下/貴司、或本公司仍然持有屬於閣下/貴司之無人認領的資產，本公司將在別無選擇的情況下只能於適當時候根據《受託人條例》（香港法律第29章）第56及62條向香港高等法院提出申請，將所有屬於閣下/貴司之無人認領的資產移交予香港法院委任的司法受託人。於這種情況下，閣下/貴司需要就如何認領已移交予司法受託人的資產尋求獨立的法律意見，且會導致閣下/貴司衍生額外的成本及費用。此外，本公司及後將關閉沒有任何現金及股票結餘之您的證券帳戶且不作另行通知。

I/We, the
undersigned, am/are the beneficial owner of the Securities Account No. ________
(the “Account”) established with Wisetrade Securities
Limited (“WSL”).
本人/吾等，以下簽署人，為開立於明智證券有限公司(下稱「明智證券」)證券戶口號碼_________
(下稱「該帳戶」)的實益持有人。
I/We hereby
confirm and acknowledge my/our irrevocable agreements, confirmations,
instructions, directions and authorizations to WSL to: -
本人/吾等現確認及承認不可撤回地同意，確認，指令，指示及授權明智證券以下事項︰-
(i) completely renounce
all my/our interest, rights, claims, title and possession of and in the
securities listed out below (the “Renunciation”) held in and under the Account
(the “Securities”):-
完全放棄所有本人/吾等在該帳戶持有及項下之下述股份(下稱「該等股份」)的權益，權利，索償，所有權及持有權(下稱「該等股份放棄」)︰

(ii) arrange with Hong
Kong Securities Clearing Company Limited (the “Custodian”) with which the
Securities was and is deposited to give effect to and perfect the Renunciation;
與香港中央結算有限公司，其為已經及現在存放該等股份之託管人(下稱「該託管人」)，安排促成該等股份放棄生效及完善該等股份放棄；
(iii) authorize it to act
and give instructions or directions to the Custodian as WSL shall consider
appropriate for and on behalf of me/us in the Renunciation;
就該等股份放棄，授權明智證券以其認為合適地代表本人/吾等行事及給予該託管人指令或指示；
(iv) appoint it to be my/our true and lawful
attorney and authorize and empower WSL to do, execute and perfect all acts,
deeds, matters and things that may be necessary in connection with the
Renunciation in accordance with the authority delegated to WSL under this
confirmation;
任命明智證券為本人/吾等的真實及合法的代表並授權及賦權予明智證券，就關於該等股份放棄的必要性，依據本確認書授予明智證券之權力辦理、執行及完善所有行動、契據、事態及事物；
(v) undertake from time to time and at all times to
ratify and confirm whatsoever WSL shall lawfully do or cause to be done in
respect of the Renunciation by virtue of this confirmation;
承諾不時及隨時追認及確認明智證券合法地依據本確認書而辦理或促成關於該等股份放棄的行為；
(vi) indemnify and keep indemnified WSL from and
against all and any losses, liabilities, damages, costs and expenses (including
legal fees) which WSL may incur or suffer in any way relating to, incidental
to, or arising out of, any action taken or omitted to be taken by WSL for the
purpose of giving effect to and perfecting the Renunciation or act or omission
in accordance with my/our confirmations, instructions, directions and
authorizations; and
彌償及持續彌償明智證券因任何形式關於或附帶於或起因於促成及完善該等股份放棄的任何作為或非作為，或因依據本人/吾等的確認、指令、指示及授權的任何作為或非作為而可能產生或蒙受之所有及任何損失、債務、賠償、費用及開支(包括法律費用)；及
(vii) withdraw, at WSL’s
sole discretion, physical stocks from the Custodian and dispose of or otherwise
deal with them (including, without limitation, forfeiture) without further
notice to me/us. Further, WSL is at liberty to revoke or delete the
stockholding record thereon from the Account and close it accordingly.
依據明智證券唯一的酌情權從該託管人提取實體股票並銷毀或予以處置(包括但不限於沒收)並不需再通知本人/吾等。此外，明智證券有權自由取消或刪除該帳戶內的相關持股紀錄及關閉該帳戶。
I/We
declare and agree that upon the Renunciation, WSL is completely released from
and discharged of all obligations and liabilities owed to me/us in respect of
the Securities and I/we shall cease to have any rights, interest, title, claims
and possession in relation to the Securities.
本人/吾等聲明及同意於該等股份放棄後，明智證券徹底地免除於及已履行所有有關該等股份對於本人/吾等之責任及債務，此外，本人/吾等亦不再擁有任何關於該等股份之權利，權益，所有權，索償及持有權。
This
confirmation is governed by, and construed in all respects, in accordance with
the laws of the Hong Kong Special Administrative Region.
本確認書的各方面均受香港特別行政區法律管轄及以其作解釋。
If there is
any conflict or inconsistency between the English and Chinese versions of this
confirmation, the English version shall prevail.
倘若本確認書的中英文版本存在差異或不一致，以英文版本為準。
